Policies & Governance

At BrainWaves, we are committed to high standards of governance, transparency, and accountability in everything we do. Our governance framework ensures we act responsibly, ethically, and in line with our charitable purpose, improving adolescent mental health through research and education.

Our Governance Structure

BrainWaves is a registered charity (No. 1213437) and a company limited by guarantee (No. 16277268) in England and Wales.

We are governed by a Board of Trustees who have overall responsibility for the charity’s strategic direction, financial oversight, risk management and compliance with charity law. Our trustees meet regularly to review progress and guide the organisation, ensuring we remain true to our mission.

The Board:

  • Sets strategy and oversees delivery
  • Ensures robust financial and risk controls
  • Upholds our values and ethical standards
  • Reviews key policies and performance

Our governing documents, including our Articles of Association and Charitable Objects, provide the legal framework for how we operate.

Key Policies

We have developed a suite of policies that support safe, ethical, and effective practice across the charity. These are regularly reviewed to reflect best practice and regulatory guidance.

Financial Oversight

Our Finance Manager and Executive Board oversee all financial matters. We prepare annual accounts in accordance with UK charity law and file these with the Charity Commission and Companies House. Independent examination or audit arrangements are in place proportionate to our size and resources.

We also maintain a Reserves Policy to ensure sustainability and prudent stewardship of funds.

Board Appointments & Trustee Information

Our Trustee Board is made up of individuals with a range of professional and lived-experience expertise relevant to our work. Trustees are appointed through an open process and serve in line with our governing documents.

Commitment to Transparency

We adhere to UK charity governance standards and aim to be open about how we are run. We welcome feedback and questions from our supporters, beneficiaries and stakeholders.
